摘要
随着市场规范化程度的提高,公司治理将成为关系到企业生死存亡的决定性因素。本文根据我国上市公司治理的特点以及已有的研究成果,从股权结构、股东权利、信息披露、治理结构以及治理与管理的匹配性五个方面提出了一个较为全面的治理评价系统。
With the development of market, corporate governance system will be one of the most important factors that influence the performance of firms and its continuing development. Based on the relative reviews and the characteristics of Chinese listed companies, this paper provides a systematic evaluation model of corporate governance in China, which is made up of ownership, right of shareholders, transparency of information, corporate governance structure and consistency between corporate governance and corporate management.
