摘要
外资并购方式将取代外商直接投资创建企业方式作为我国主要的利用外资的形式。在我国当前外资并购实践不规范和外资并购立法严重滞后的情况下,如何解决外资并购上市公司中存在的种种问题是当务之急。
The mode of foreign capital Merger & Acqusition will replace the mode of straight investment to set up corporations in the near future . Foreign capital Merger & Acquisiton will become the main means of using foreign capital in China .Today our practice is not startdardized and also our legislation serio usly lags behind; so how to solve the problems is a matter of great urgency.
