摘要
独立董事制度对我国上市公司治理结构的完善有着积极的现实意义,但又与我国现行市场经济体制存在一些方面的抵触。照搬国外经验和完全否定的态度都是不足取的,本文在考虑国内实际的基础上提出了较为现实的解决办法。
Independent counsel institution has its actively practical significance to perfect the corporation governance construction of China's listed corporations. However, it has also some conflict in certain aspects with our current market economical framework. Neither coping with foreign experience entirely nor rejecting completely is desirable. This article propose some quite practical resolution method with consideration of actual position in China.
