摘要
在全球经济一体化趋势和中国加入WTO的背景下,外资并购中国企业已成为外商直接投资的热点。但是,不仅要看到外资并购国有企业具有引入资金、管理经验和明晰产权等优点,同时也要看到其引发出的一系列问题。探讨外资并购国有企业中出现的问题,完善有关外资并购的法律规范体系,促进经济建设具有十分重要的意义。
Under the trend of economic integration in the world and the background of our country joining the WTO,it becomes hot point to direct investment of foreign company that our enterprises are mergered and purchased by foreign capital.But we notice that foreign company mergering and purchasing our enterprises not only has merits of inducting capital,managemant experience,but also causes a serises of problems.Therefore,studying the problem of the foreign capital mergering and purchasing our enterprises,perfecting the system of the law norm,has the very important meaning to promote economic development in our country.
