摘要
企业间进行合作时,合作各方往往以合同的形式明确其权利义务。然而合同往往是不完备的,诉诸法律程序意味着高费用和时间的浪费。这使合同中规定的权利义务难以得到保证,合同的约束力受到限制,合作关系的稳定性受到影响。笔者分析了合作契约的不完备性以及准租的存在对合作关系稳定性的影响,以便人们对合作、不完备契约和准租之间的辩证关系有一个全面的认识。
When enterprises cooperate with each other, they often define some rights and obligations by contracts. However contracts can not take everything into account, and are always incomplete. There will exist abnormal profits in the process of cooperation, which are called rent. The stability of the cooperation relationship is therefore affected. This paper aims to analyze the impact of incomplete contracts and rents on cooperation stability.
