摘要
数字经济是未来核心经济形态之一,数据交易市场机制建设亟待积基树本,破产重整程序对于数据交易市场机制建设具有重要作用。数据资产财产权利应采取二元结构原理,根据其能产生的效益最大化对数据资产进行权属确定并制定重整计划。在双重权利的博弈中,允许数据主体对其个人数据进行自由流通,侧重于对个人信息数据最大化利用,实现对个人权利保护的事后救济,推动数据行业对个人信息保护的行业自律。同时,应制定专门政策保障数字企业顺利进入破产重整程序;完善个人信息保护的事后救济措施;构建健康的数据交易市场,接纳重整企业进入市场。
As one of core economic forms in the future,the construction of a data trading market mechanism urgently requires a solid foundation.The bankruptcy reorganization process plays an important role in the development of the data trading market.Property rights of data assets should adopt a dual-structure principle to determine ownership and formulate reorganization plans based on the maximization of benefits that the data assets can generate.In the game of dual rights,data subjects should be allowed to freely circulate their personal data,focusing on the maximum utilization of personal information data while providing ex-post remedies for the protection of personal rights,and promoting industry self-regulation in the data sector regarding personal information protection.At the same time,special policies should be formulated to guarantee that data asset enterprises can enter bankruptcy reorganization;ex-post remedies for personal information protection should be improved;and a healthy data trading market should be established to accommodate restructured enterprises entering the market.
