摘要
民法基础理论中的授权行为具有独立性和公开性的特点,是授权人在授权人至上理念指引下,经由利益衡量后作出的行为选择。公司内部权力授权行使是在组织机构分化背景下,从公司整体利益层面对授权行为基础逻辑形成的有限突破。作为公司内部权力授权行使的关键环节,剩余权力划分问题仅在上市公司治理规则中有所尝试,并未得到原《公司法》一般制度设计的重视。新《公司法》通过法定职权、章定职权与剩余权力行使三个层次,进一步明确了公司组织机构协同运行机制,将公司剩余权力划归股东会行使。在解释论立场上,应当明确股东会作为剩余权力分配人的角色,从授权行为适当性、程序性及牵连性三个方面作出进一步解释和续造。
The authorization act in the basic theory of civil law is characterized by independence and publicity.It is a behavioral choice made by the authorizer after a balance of interests under the guidance of the concept of the primacy of the authorizer.The exercise of internal power authorization in a company represents a limited breakthrough in the basic logic of the authorization act from the perspective of the overall interests of the company against the backdrop of the differentiation of organizational structures.As a crucial aspect of the internal power authorization exercise in a company,the issue of the division of residual powers has only been explored in the governance rules of listed companies and has not received due attention in the general institutional design of the former Company Law.The new Company Law further clarifies the coordinated operation mechanism of the company's organizational structures through three levels:legal powers,powers stipulated in the articles of association,and the exercise of residual powers,and assigns the residual powers of the company to the shareholders'meeting.From the perspective of interpretation theory,the role of the shareholders'meeting as the distributor of residual powers should be clarified,and further interpretation and development should be made from three aspects:the appropriateness,procedural nature and relevance of the authorization act.
