摘要
本文将通过查阅相关案例、研究新《中华人民共和国公司法》(以下简称《公司法》)第八十八条第二款之规定等方法,分三个部分研究分析瑕疵出资股权转让后的出资责任。本文第一部分将通过对真实案例进行分析,梳理归纳出相关法律问题。在第二部分,通过研究分析相关法律问题的观点,明确瑕疵出资股权转让双方中受让人的责任性质为出资责任,而转让人则承担连带保证人的担保责任;二者承担的连带责任是不真正连带责任;瑕疵出资股权多次转让后的责任,应为受让人承担第一位的出资责任,并在全部转让人共同承担连带责任的前提下实行倒序追责。在第三部分,经过对前文进行论述分析后,提出针对性的具体建议。
This article will analyze the capital contribution liability after the transfer of defective equity contributions in three parts by reviewing relevant cases and studying the provisions of Article 88(2)of the new Company Law of the People's Republic of China(hereinafter referred to as the"Company Law").The first part of this article will analyze real cases and summarize relevant legal issues.In the second part,by studying and analyzing relevant legal issues,it is clarified that the nature of the responsibility of the transferee in the transfer of defective equity is capital contribution responsibility,while the transferor bears the guarantee responsibility of joint and several guarantors;The joint and several liability borne by both parties is not truly joint and several liability;After multiple transfers of defective equity contributions,the transferee shall bear the first responsibility for the contribution,and shall be held accountable in reverse order on the premise that all transferors jointly assume joint and several liability.In the third part,after discussing and analyzing the previous text,specific targeted suggestions are proposed.
