摘要
忠实义务与勤勉义务强化了公司董事的责任承担,而商业判断规则则在一定程度上为公司董事提供了保护。为回应引入商业判断规则可能面临的质疑,应明确其核心内涵:只要董事所作商业决策与公司不存在利害冲突、基于合理信赖且善用其专业能力,即应免除其责任。建议在我国《中华人民共和国公司法》(以下简称《公司法》)中采取立法模式,正式引入商业判断规则。
The obligations of loyalty and diligence strengthen the responsibility of company directors,while the rules of business judgment provide protection for company directors to a certain extent.In response to potential doubts about the introduction of business judgment rules,its core meaning should be clarified:as long as the business decisions made by directors do not conflict with the interests of the company,are based on reasonable trust,and make good use of their professional abilities,they should be exempted from responsibility.It is suggested to adopt a legislative model in the Company Law of the People's Republic of China(hereinafter referred to as the"Company Law")and formally introduce commercial judgment rules.
