摘要
《刑法修正案(十二)》将民营企业人员背信行为纳入非法经营同类营业罪规制范畴,本罪采用信任法益+财产法益的复合法益结构:信任法益包含内部信任(职务廉洁性)与外部信任(忠实义务)双重维度,前者指向董监高不得滥用职权谋私的消极义务,后者强调维护企业竞争优势的积极义务;财产法益则作为基础性前提法益,以重大损失要件构筑犯罪门槛。两法益呈现动态位阶关系:借助法益位阶理论,能合理限缩同类营业的认定范围,避免将家族企业内部竞业行为不当入罪;财产法益承担入罪筛查功能,信任法益则决定行为不法本质,二者共同构成行为—结果的双重评价基准。通过信任法益的类型化区分,可精准识别利用职务便利的行为边界,厘清与职务侵占罪的竞合关系。
Amendment(XII)to the Criminal Law incorporates the act of breach of trust by private enterprise personnel into the scope of regulation of the crime of illegally operating a business of the same kind,and this crime em-ploys the composite legal interest structure of trust legal interest+property legal interest:the trust legal interest contains the dual dimensions of internal trust(job integrity)and external trust(duty of fidelity),with the former point-ing to the negative obligation of the directors and supervisors not to abuse their power for personal gain,and the latter emphasizing the positive obliga-tion of safeguarding the competitive advantage of the enterprise.The property interest serves as the basic premise interest,and the threshold of the crime is constructed by the element of significant loss.The two legal interests pres-ent a dynamic hierarchicalrelationship:with the help of the theory of legal interest hierarchy,the scope of identification of similar business can be reason-ably limited to avoid improper incrimination of competitive behavior within the family business;the legal property interest assumes the function of incrimina-tion screening,while the trust legal interest determines the nature of behavior-al wrongdoing,which together constitute the dual evaluation benchmark of be-havioral results.Through the typological distinction of trust legal interest,it can accurately identify the behavioral boundaries of the use of job facilita-tion,and elarify the competing relationship with the crime of job misappropria-tion.
