忠实义务在数字风险防范中的适用与展开 被引量:2

摘要 数字技术内容、服务、网络、设备的四层级界分,映射数据、信息、网络、算法和基础设施五维数字安全风险。除可归咎于技术自身的原因外,数字风险的发生在很大程度上源于技术优势方的机会主义行径。对此,忠实义务通过防止权力(利)滥用、抹平信息差异、平衡利益冲突、促进行为向善等矫正正义手段消解机会主义倾向。学理上,忠实义务包括信托忠实与普通忠实。在不同技术层级和风险维度,技术优势方基于地位不对等和公共利益保护,分别对与其有直接合同关系的受众负有专业性较高的信托忠实义务,对间接受其影响的涉众负有道德色彩浓厚的普通忠实义务。作为违反忠实义务事后惩罚的补充,柔性的治理手段比刚性的归入权更能起到行为矫正的作用。 Digital technology can be broken down into four layers:content,services,networks,and equipment;and its security risks associated could be categorized into five dimensions:data,information,network,algorithm,and infrastructure.Beyond the reasons that can be attributed to technology itself,digital risk occurs in large part because of the opportunistic behavior of technologically superior parties.In this regard,the duty of loyalty can eliminate the opportunism tendency by preventing the abuse of power/right,promoting information equality,balancing the conflicts of interests,restricting altruistic behaviors.Theoretically,the duty of loyalty encompasses both fiduciary loyalty and ordinary loyalty.At different technical layers and risk dimensions,the technologically superior party,due to unequal status and public interest concerns,owns a highly professional fiduciary duty of loyalty to the counterparties that are directly contractually related,and an ordinary duty of loyalty with strong moral sense to the stakeholder groups within its influential range.As a supplement to expost penalties for breaches of loyalty duties,relatively flexible governance measures prove more effective to deter the violation of the duty of loyalty.
