摘要
为解决我国上市公司内部治理结构中存在的种种问题,管理层和专家学者们提出了许多改革方案,其中最主流的就是建立上市公司独立董事制度。但是,由于独立董事制度本身存在的不足,使它在公司治理结构中很难发挥应有的作用。而公司监事会是法人治理结构的重要组成部分,是公司职权部门间相互制衡的必然选择。尽管目前公司监事会职能存在某些问题和缺陷,但是通过改革和完善公司法中有关监事会的职能,使之与股东大会、董事会、经理层协调运转、有效制衡,充分完善和发挥监事会的监督职能,才能使具有中国特色的公司内部治理机制充分发挥作用。
Authorities, experts and scholars have come up with lots of reforming strategies concerning various problems in the management of companies on the stock market in China. They've mainly put forward that an independent board system should be founded in companies on the stock market. However, this system can hardly fully play its role in the management because of the insufficiency existing in the system itself. At present,there are some problems and defects in the function of the supervision committee-the important part of the legal management in a companion the stock market. But such problems, and defects could be eliminated if the committee's supervision function were reformed and improved and fully used.
