摘要
契约群作为介于主体间松散合作与公司内紧密协作之间的一种混合式合作形态,在组织开展协作共享方面拥有独特优势。契约群外部形态形成网状结构,内部运作具有以组织性、关联性为基础的整体性特征,挑战现有的交换性、个别性合同立法范式和合同相对性制度。我国合同法律制度对契约群的规范应以促进契约群组织经济协作的功能为立法宗旨、以“差别责任”适当干预合同风险分配,以总则中的一般条款为立法形式,增设以下规则:依据“共同操作”对子合同内容进行整体解释、赋予受不利影响的当事人解约权和违约抗辩权、以再谈判义务限制“群主”的解约权等。
As a hybrid cooperation form between the loose cooperation form of market subjects and the close cooperation form within the company,contract group has unique advantages in organizational collaboration and sharing.The external form of the contract group forms a network structure,and the internal operation has the overall characteristics based on organization and relevance,which challenges the existing legislative paradigm of exchange and individual contract and the system of relativity of contract.The standardization of contract group in the contract law system should take promoting the function of the economic cooperation of the contract group as the legislative purpose,properly interfering with the contract risk distribution using“differential liability”principle,and taking general clauses in the general principle as the legislative form.Based on the above-mentioned content,the following rules should be added:to overall interpret the content of subcontract according to the“joint operation”principle;to give the adversely affected parties the right to terminate the contract and the right to defend against breach of contract;and to restrict the group owner’s right to terminate the contract by the obligation of renegotiation.
