摘要
起源于欧美的独立董事制度在中国的推行 ,体现了目前我国期待通过独立董事的独立身份与有价值的见解为中国公司治理结构做出贡献。然而该制度在本土化的过程中仍存在种种障碍 ,需要进一步完善 ,对独立董事的资格认证、选聘机制、激励机制、约束机制的信息支持应受到重视。
The implementation of the independent director system in China, which is originated from Europe and America, embodies the Chinese enterprises' expectation to make contribution for China's corporation governance by virtue of the independent director's independent identity and valuable view. This system, however, faces kinds of barriers in the course of localization and should be further perfected. Moreover, the independent director's qualification certification, the option and appointment mechanism, the incentive and restriction mechanism should be emphasized.
