摘要
市场准入负面清单列举禁止类清单和限制类清单,规范政府与市场的关系,界定政府与市场的边界,划分政府与市场的权利和责任,体现了"法无禁止皆自由"的市场理念。但是,市场准入负面清单与《产业结构调整指导目录》的限制类目录与鼓励类目录、《商业银行法》规定的银行根据产业政策贷款、《证券法》规定的鼓励符合产业政策的公司股票上市交易、《反垄断法》中产业政策制度安排考量因素等,都发生了冲突。分析这些冲突的法律规范和经济影响,提出修改、调整和废止的建议,保障产业政策、相关法律与负面清单的协调与衔接、统一性与一致性,实现市场资源配置的决定性作用。
The negative list of the market entry names both banned lists and restricted lists, which define the boundary between the market and the government and reflect the philosophy that the absence of legal prohibition means the freedom to take actions. But the negative list is in contradictory to the list of the restricted and encouraged industries named by The Guiding Catalogue for Adjusting the Industrial Structure. It also disagrees with the requirements that commercial banks should extend loans according to the industrial policies as specified in the Law of Commercial Bank, the requirements that firms in accordance with the industrial policies should be encouraged to undertake initial public offering as stipulated by the Securities Law, and the requirements to consider industrial policies in the Antitrust Law. This article analyzes these conflicts and their economic impacts, and proposes the revision, adjustment and annulment of laws and regulations accordingly, so that the negative list of the market entry could be coordinated and in consistent with the industrial polices and relevant laws, which will bring about the decisive role of market mechanism in allocating resources.
