摘要
近来 ,我国证券市场屡屡暴出惊人的恶性事件。在这些事件中受害最深的当属广大的中小股民。由于合法权益受到严重侵害 ,他们的投资信心和投资热情被严重挫伤 ,从而导致股市的严重缩水及股价的连续下跌。要改变现状 ,首当其冲的是重拾投资者的信心。因此加强对小股东合法权益的保护迫在眉睫。本文阐明了小股东权益保护的必要性和重要意义 ,并分析了小股东权益遭受侵害的主要原因 ,最后论述了小股东权益保护的法律基础 。
Recently, terrible things have often occurred in the stock market. In these happenings, the medium and small share holders suffer the most. As their legal rights have been severely deprived, their confidence and enthusiasm in investment have been seriously hurt. As a result, the business in the stock market has been declined and share prices dropped down. To change this situation, the most important move is to re-establish investors' confidence. Hence, it is pressing and urgent to protect the legal right of the small share-holders. The present paper relates the necessity and importance of such a protection. That apart, it analyses the main reasons of why these small share-holders will be injured. Finally, it explains the legal basis for the protection of small share-holders' right and interest. It hopes that a theoretical base for the protection of their right and interest can be provided.
