摘要
注册制是成熟资本市场所实行的股票发行制度。十八届三中全会正式提出股票发行要实行注册制,标志着我国资本市场正向成熟化、市场化、规范化迈进。注册制的建立需要一系列有益的先行基础条件,这些条件的创造和顺利实施甚至比注册制本身更为重要。本文系统总结了美国IPO注册制的特征及经验,并结合我国具体情况提出了推进注册制改革应该尽快落地实施的一些配套改革措施。
the registration system is the stock issuing system in the mature capital market. The third Plenary Session of the 18 th CPC Central Committee formally proposed the implementation of the registration system to implement the stock issue, marking China＇s capital market is mature, market-oriented, standardized forward. The establishment of registration system requires a series of beneficial antecedent conditions, the creation and smooth implementation of these conditions is even more important than the registration system itself. This paper systematically summarizes the characteristics and experience of the IPO registration system in the United States, and puts forward some necessary reform measures to promote the reform of registration system as soon as possible.
