摘要
随着中国证监会《关于在上市公司建立独立董事制度的指导意见》的出台 ,我国的独立董事制度建设进入了一个新阶段。如何结合中国的国情 ,设计出有中国特色的独立董事制度成为一个急需解决的问题。本文以我国目前独立董事制度建设中存在的问题为出发点 ,阐述了独立董事制度设计过程中的几个关键问题 。
With the implementation of Guidelines on Establishing Independent Director system in Listed Company issued by CSRC ,China has stepped into a new stage to build its independent director system. Designing sound mechanism for independent directors has become an urgent task to deal with. The article , beginning with analysis of defects existing in current situation ,illustrates some key factors during the construction of the independent director system and offers some suggestions.
