摘要
我国上市公司由于产权结构的不合理,使得上市公司中公司治理结构的不合理,“内部人控制”问题突出。如何完善我国上市公司的法人治理结构,维护中小投资者的利益,确保国有资产的保值增殖?引进独立董事制度则是为解决这一问题而迈出的关键一步。但“独立董事”是“舶来品”,怎样在中国的市场环境下真正发挥独立董事的作用则值得我们深思。本文拟就中国独立董事的现状,存在的问题及应采取的措施谈点自己的看法。
As a result of irrational property structure of corporations on the stock market, there exist irrational management structure in these corporations among which the problem of 'insiders' control' is especially serious. How can we perfect these corporation's management structure, maintain the medium and small investors' benefit, and ensure the value of state-owned assets to be kept and increased? Introducing independent director system is a key step towards solution of this problem. While how its function can be brought into full play under Chinese market surrounding deserves thinking. This paper, in terms of its condition, problems and countermeasures, analyses this problem.
