摘要
现代企业制度是建立在所有权和经营权相分离基础上的委托代理制度,国有资产中蕴含的公共产权属性决定了国有企业委托代理的特殊性,产权主体不明确、所有者缺位、委托代理链冗长,国有企业的委托代理不仅存在代理风险,而且存在“委托风险”。完善国有企业的委托代理关系,必须针对公共产权的特性,在建立健全企业内部治理结构和监控机制的同时,必须建立健全企业外部治理结构和监控机制。完善国有企业的委托关系,必须针对公共产权的特性,在建立健全企业内部治理结构和监控机制的同时,必须建立健全企业外部治理结构和监控机制。
Modern enterprise system is principal-agent system based upon the separation between ownership and managing.The particularity of SOE's principal-agent due to common property right attribute of state-owned capital bring about ambiguity of property right 's body,absence of owner and lengthiness of principal-agent chain,so there are agency risk further more principal risk in the principal-agent process of SOE.
