摘要
中美独立董事制度存在着内部治理结构、股权结构、外部治理环境三方面制度环境的重大差异,在引进美国的独立董事制度时必须通过修改公司法对我国现有公司治理框架进行改造,同时推进国有股减持,完善股权结构,加强证券市场的法制建设,形成有效的外部治理,让独立董事制度真正发挥作用。
There are great differences between China and America in terms of internal adminstrative structure, structure of stock holders, external administration environment. When the independent director system of America is introduced into our country, the current frame of company administration must be transformed by the amendments to the Company Law. Meanwhile, trying to reduce the percentage of state - owned stock; improving the structure of stock holders; strengthening the legal system of stock market; forming an effective external administration——all these measures will stimulate the independent director system into more great effects than ever.
