摘要
中国上市公司管理层约束与激励存在 3个问题 :(1)缺乏有效的约束机制 ;(2 )缺乏有效的激励机制 ;(3)缺乏对管理层专属性投资的有效保护。管理层收购能够有效地解决这些问题 ,为完善上市公司管理层约束与激励提供新思路。当前 ,应该采取措施促进管理层收购的发展 :(1)转变政府部门观念 ;(2 )促进杠杆融资的发展 ;(3)完善相关的法律法规 ;(4 )促进专业服务机构的发展。
There are three major problems in the restrictive and incentive mechanism for the management of Chinas public listed companies(1)lacking of effective restrictive mechanisms;(2)lacking of effective incentive mechanism;(3)lacking of protection of specific investment of the management. Management buyout can solve these problems effectively and brings up new way to restrict and stimulate the management. For the time being, there are several measures to facilitate MBO:(1)altering the idea of government;(2)stimulating the development of levered financing;(3)modifing the relative laws and regulations;(4)fostering special service institution.
