文章介绍了国外近年来对美国风险资本有限合伙制研究的最新进展 ,介绍了有限合伙协议与约束条款的类型与影响因素、一般合伙人的激励机制 。
This paper sums up the new progress of foreign studies on the U.S. venture capital limited partnership in recent years, including limited partnership agreements and covenants, compensation mechanism of the general partner and the stock price reaction when general partners distribute stock to the limited partners.
