摘要
资本证券市场的核心在于对中小股东合法利益的保护 ,股东代表诉讼制度的建立可以为中小股东合法利益提供一道法律屏障。股东代表诉讼与一般诉讼不同 ,在股东代表诉讼制度设计时 ,应该着重处理好中小股东合法利益保护与防止滥诉之间的平衡。
The core of perfect capital securities market lies in protecting interest of holders with a small sum of shares. The establishment of lawsuit system of shareholders' representatives can supply a law to protect their interest. Lawsuit of shareholders' representative is different from common lawsuit. In the process of working out the system, we should pay more attention to the balance between lawful interest of small shareholders and avoiding over-use of the right.
