摘要
现阶段国有控股公司存在着产权主体不到位 ,责、权、利不对称 ,监督、约束乏力的现象 ,其原因是公司内部治理的不完善和外部治理的缺失。应全面平衡和完善国有控股公司的内部治理与外部治理 ;在内部治理上应提高监事会的地位并赋予实权 ,尽可能降低国有股在公司产权结构中的比重等 ;在外部治理上加强产品、资本、经理市场的治理 ,完善并强化法律、法规、政策的硬约束。
Nowadays,there are some problens in governing-structure in state-controlling-stock enterprises.such as lack of property rights, duty unbalance,power and interests,the weakness of restriction and supervision The main reason is the uncomplete governning structure in and out of these enterprises.I protect that we should balance and develop the inner and outer geovernning-structure in these enterprises.For the inner of that,we should promote the position of board of supervisor and give it real rights,decrease the proportion of state-stock set up the polybasic mechanism in board of dirctor.take staff creditor in govemning -structure and overlapping legal-person stock-holder.Establish the new idea for state-cotrolling-stock.In the outer aspect,government should strengthen management in product,captital and managers market,and build the new policy and new law.
