摘要
根据我国《中华人民共和国合同法》第229条的规定,买卖不破租赁规则不仅适用于不动产,而且适用于动产,并无需任何公示方式,如交付、占有、登记等。造成实践中,出租人往往和第三人恶意串通,事后倒签租赁合同,损害善意买受人的利益,特别是使银行等金融机构的债权难以保全,不利于维护交易安全和提高交易效率。因此借鉴国外规定,结合我国实践,对我国买卖不破租赁规则的适用条件进行限制,缩小其适用标的物的范围,引进公示公信规则,实现承租人和出租人利益的平衡。
The 229th Article of Chinese Contract Law erects such a principle that assets leasing shall not be subject to the transaction, and stipulates that it applies not only to real estate but also to personal property, requiring no necessary publicities like delivery, possession and registration. But this principle does not work well when the lessor colludes maliciously with a third party to backdate the lease contract, and bona fide buyers as well as the loan's owner(s) like a bank and(or) other financial institutions would often suffer from losses. In light of practice in other countries and Chinese reality, this paper proposes that the principle shall be remedied by narrowing the applicable scope of the subject matter and introducing a rule of public confidence and public notice, so as to balance benefits of both the leaser and the lessee.
