摘要
本文以股权结构与性质———公司治理结构———治理机制———公司行为———公司绩效为理论框架 ,探讨了我国国有上市公司特有的股权结构和性质对其治理结构、治理机制、行为和绩效的决定性影响 ,得出了只有通过国有股减持的方式改变股权结构和性质才能从根本上改变和完善公司治理结构的结论。同时就国有股减持的几个基本问题作分析探讨 ,提出了看法。
This article is based on the following theoretical logical structure equity structure and characteristics governance structure governance mechanism company behavior and achievements, and probes into the decisive effect of the particular equity structure and characteristics of the state owned listed companies on their governance structure, governance mechanism, behavior and achievements, and makes the conclusion that the governance structure of companies can be basically improved only by changing the equity structure and characteristics in the way of reduction of holding the state owned stocks. In the meantime, the author puts forward his own point of views on some basic problems on the reduction of holding the state owned stocks.
