摘要
在现有的以知识转移为目的跨国并购的研究中,关注的焦点多为发达国家企业的并购以及大企业并购小企业的案例,而针对发展中国家企业并购发达国家企业的研究较少。本文研究了沈阳机床如何并购德国希斯,通过知识转移,成功获取了先进的中大型机床制造技术,成为一个产品覆盖小中大型机床的在规模和技术都领先世界的机床制造企业。基于对案例的分析提出中国企业在进行以学习和知识转移为目的的海外并购时的三阶段的3S模型。
In previous research on cross-border M&As aimed at knowl- edge-transfer, researchers mainly focus on the M&As of firms in developed coun- tries and the M&As of larger firms. However, the research on the M&As of firms in developing countries are relatively less. This study analyzes SMTCL' s M&A of SCHIESS and the procedure that SMTCL acquires the technology of larger machine tool through M&A. Based on this case analysis, we propose a three-stage model of cross-border M&A aimed at knowledge-transfer. In the first stage, the firm should make a clear strategic plan. In the second stage, the firm should speed up to increase the success rate. In the third stage, the integration stage, the firm should slow down to enhance willingness of acquired firm and the effect of knowledge-transfer.
