摘要
公立高校建立董事会是我国高等教育改革的一个新探索,其目的在于完善高校法人治理结构,确立公立高校的法人地位。基于法人治理结构的视域,应使公立高校董事会取得类似于国有独资公司董事会的地位,使其成为政府有关重大事项决策的执行机关和政府决策权以外其他重要事务的决策机关,并依此界定其职权,完善其运行机制。
Building the board of trustees in Chinese public university is a new exploration of higher education reform, whose aim is to improve the corporate governance structure of u- niversities and establish the legal status. From the perspective of corporate governance struc- ture, it should make the board of trustees in Chinese public university obtain the similar legal status of state-owned company, and make it become the enforcement organization of the gov- ernment significant item decision-making and the decision-making organization besides the government, through defining its responsibilities and improving its operation mechanism.
