摘要
由于海外投资风险大、成本高,中国企业进行海外投资面临的最大问题就是融资。除非企业有自己的财务公司或国外有长期的金融伙伴,否则企业的跨国并购多少都会遇到资金上的困难。为了帮助国内企业把控海外项目融资风险,本文就海外项目融资模式进行梳理和简要分析,并针对我们在实务中遇到的法律问题,提出一些具体看法和建议。
Due to the risky and costly nature or overs gest challenges for Chinese corporations dealt with overseas investment. Unless a corporate has its own financial advisory firm or some long-term overseas financial partners, most corporate will encounter capital difficulties in cross-border M＆A deals. In order to help domestic companies to control risks of overseas project financing, this article summarizes and analyzes models and proposes specific observations and recommendations based on the legal problems encountered in practices.
