摘要
从经济与文化2个维度,分别在国家、企业2个层面对企业跨国并购进行剖析,提出了"经济-文化"综合博弈模型。中国企业的跨国并购大多处于"经济顺势"和"文化逆势"的特定情境下,其并购后的整合具有"经济-文化"不对称博弈的特点。基于"以道为本"的企业文化观,在相关案例研究的基础上,提出了破解这一不对称博弈困局的策略和建议,以期丰富和发展企业跨国并购理论,为中国企业跨国并购的文化整合提供有效途径。
This paper puts forward an "Economy-Culture" game model of the cross-border M^As, based on the dimensions of economy and culture and the facets of nation and corporate. With the context of "economic advantage" and "cultural disadvantage", the cross-border M^As of Chinese corporates are encountered with asymmetrical game between economy and culture. From the perspec- tive of the Dao-oriented corporate culture, the paper offers M^As of Chinese corporates responding tactics based on relevant cases, which are likely to enrich and develop cross-border M^A theories and provide effective suggestions for the cultural integration of cross-border MgaAS of the Chinese corpo- rates.
