摘要
我国私法体系虽已基本完备,但因其在形式上体系化程度不高,有必要借助法典编纂的方式对民商事领域的法律材料进行系统而科学的整理和完善,实现私法的体系化。从私法的分化和融合的历史变迁看,民商法间的关系在当今很难用"民商合一是立法趋势"这一论断来概括,影响立法更多的是既成的法律传统、立法者采取的立法政策以及统一国法的政治经济需求等因素。基于这些因素的考量,并兼顾民商法的私法共性以及商法的诸多个性,通过制定民法典统率整个私法,并另定商事通则和完善商事单行法对其补充,实为我国当下法律体系和立法政策下的最现实合理的选择。
The private law system in China is basically completed, but as for its lower degree of sys- tematization, it is necessary to clear up and perfect legal materials in civil and commercial field aid- ed by the compilation of legal code so as to realize the systematization of private law. From the per- spective of the historical transformation of the differentiation and fusion of private law, the relation among civil and commercial law can not be generalized as ＂combination of civil and commercial law as a legislation trend＂, because factors influencing legislation are mostly established legal tradition, legislation policy and political and economic requirement of a unification of laws. Based on these as well as the common characteristics of private law and those of commercial law, it is the most realis- tic and reasonable choice of our present legal system and legislation policy to lead private law by drawing up civil code and complement it by discussing general commercial rules and perfecting com- mercial law.
