摘要
我国《公司法》对少数股东保护的条款少 ,规定得过于原则 ,不利于操作。另外保护少数股东权益的制度未确立 ,应借鉴国外立法的经验 。
There are few clauses about the legal protection to the minority shareholders in our law of corporation. Even those existent clauses are highly principled and are unfit for operation. And there is no system of the protection to the minority shareholders′rights and interests.In order to enforce and perfect the shares of the minority shareholders in China,we had better use the experience of foreign countries for reference.
