摘要
战略并购是我国企业提高核心竞争力、走向国际化的有效途径,是以国家和企业战略为出发点,以增强国家实力、提高企业核心竞争力、创造大于各自价值之和的新增价值为目的,包含并前规划、并购交易、并后整合全过程,通过协同效应(学习效应、规模效应、范围经济效应)实现最终目标的并购。战略并购的动因包含引致性动因(共享资源和分散风险的诱导)和驱致性动因(国家和政府的驱动)两种。根据战略并购企业与被并购企业社会影响力和技术能力的不同,企业战略并购可分为"高攀"型战略并购、"对等"型战略并购、"整合"型战略并购三种类型。
Strategic MA is the MA that is a good choice to improve the core competitiveness and internationalization for Chinese enterprises,takes national and enterprises' strategy as the starting point,takes enhancing national strength,improving enterprises' core competitiveness and creating newly increased value as the purposes,includes the whole process from pre-MA planning,the deal of MA and post-MA integration,and realizes the final objectives with the help of coordination effect,such as learning effect,scale effect and the effect of economy of scope.The motivation of MA includes result-oriented motivation and drive-oriented motivation;according to the differences in social influence and technological capability of MA enterprises,the strategic MA can be classified into three types.
