摘要
股份合作制自出现以来，一直备受官、产、学的广泛关注，最近被作为一种正式的企业制度安排。对此，众说纷纭。本文首先对诺思的制度变迁理论中路径依赖部分进行简要的介绍，然后根据这个理论，对股份合作制的产生条件进行了分析，考察了它的三个悖论，指出股份合作制偏离了我们的企业改革目标，实际上，股份制是股份合作制今后的发展方向。
The labor - capital collective system, institutionalized as an enterprise one, has been the centre of attertion of the government, the enterprises and the scholars. This article find introduces the notion of the path-dependence in North's institutional change theory and then analyses the conditions tinder which the labor - capital system emerged. The whole investigates its three paredoxes and indicates that it deviates from the goal of the reform of the enterprise, and should develop in the direction of the joint - stock system.
