摘要
基于国内古村落旅游公司的经营实践,本文尝试引入利益群体与公司治理等理论体系,研究介入古村落旅游开发的旅游公司的有效治理模式问题。论文首先对古村落开发过程中相关利益群体进行详细界定与分类,系统分析了古村落旅游公司在经营过程中所涉及的各个利益群体的核心利益诉求及其潜在的矛盾。在系统归纳国内外旅游公司的治理实践的基础上,从组建共同治理董事会和监事会及处理好各利益群体关系等方面提出古村落公司共同治理的模式;最后,论文构建了以各利益群体全面参与旅游公司治理与完善各利益群体的激励与约束机制为核心的旅游公司共同治理模式,以期依此协调各方的核心利益诉求冲突,最终实现古村落开发与利用之间的动态平衡。
Based on the domestic ancient village tourism enterprise management practice, this paper tries to introduce interest groups and corporate governance theory system to the research involved in the effective governance model of ancient village tourism development company. Firstly, this paper carry on the discussion of the detailed definition and classification of ancient villages, and analyze and clarify the core interest demand and potential conflict of the various interest groups involved in the ancient village tourism development process; Secondly, this paper builds up the tourism enterprise common governance mode in the core of the various interest groups to participate fully in the travel company governance and perfect the various interest groups of incentive and constraint mechanism, in order to coordinating the core interest demand conflict, and realizing the dynamic balance between the ancient village exploitation and utilization.
