摘要
公司制度是人类的一大发明。公司制度具有克服其他企业形式种种弊端的优势;由于法人格、股东的有限责任原则以及股权的有价证券化等重要因素的共同作用,使公司尤其是同时具备这些因素的公司成为最具优越性的企业组织形式。当然,公司制度也存在一些弊端,因而张扬其优越性,克服其弊端就成为公司法制建设的重大使命。
The company system is a great invention of mankind. Company system has the superiority to over-come the drawbacks of other enterprise. The important facts such as legal personality, limited liability of shareholde-rs, stock right of being negotiable securities make company become the most superior business organization. Howev-er, company system has drawbacks, too. Therefore, publicizing the superiority and overcoming the drawbacks of company system are the major task of constructing company law.
