摘要
20世纪80年代以来,随着经济全球化的发展,跨国并购已成为国际对外直接投资的重要方式和跨国公司进行全球化扩张的重要手段。随着我国加入世贸组织,中国的市场容量大且具有广阔的发展潜力,发达国家不仅将生产基地向中国转移,同时在金融服务领域也加大了投资。跨国公司并购是一种市场行为,同时也应该注意到跨国公司在华的大肆并购将对我国的经济产生一定的负面影响,本文正是基于此考虑,来浅析跨国公司在华并购的动因并提出相应的对策。
Transnational merger is the production of the enterprise merger together with foreign direct invest- ment. It has become the most important means of international direct investment and the expansion of globaliza- tion of the transnational corporation. As our country has been admitted into the WTO, Chinese market, whose vol- ume is immense and which has great potentiality, has become the main competitive territory of the transnational corporation. The developed countries not only move their production base to China, but finance and other service field also speed up their steps to invest. Transnational merger is a market activity. We should pay attention to the negative influence of the transnational merger to our country＇s economy. Based on this consideration, this paper analyzes the incentive of M C merger and puts forward the corresponding countermeasures.
