摘要
企业产权制度改革需要科学产权理论的支持。公司制企业的产权关系表现为股权与法人财产权。本文试以公司法人制度理论和法人财产制度理论为基础 ,从公司企业产权的产生和公司企业产权的内外部关系入手 ,以新的视角分析了公司产权法律关系的实质 ,即股权与法人财产权都是新的财产权利形式。这一对新的法权必将会丰富我国企业产权的民法理论 。
The reform of the institutions of the property interests in corporations needs the support of a scientific theory of property interests.The property interests in corporate enterprises are expressed in the forms of equity interest and the legal persons' property rights.Taking as a basis the theory of the institutions of corporate persons and the theory of the institutions of corporate property,starting from the formation of the property interests in corporate enterprises and their internal relationships,the author in the article analyzes from a new perspective the essence of the legal relationship of corporate property rights,i.e.both equity interests and corporate property interests are new forms of property.These two new legal rights will certainly enrich the civil law theory of corporate property interests in our country,and civil legislation will make a response sooner or later.
