摘要
团体是对个人来讲,往往具有工具性价值。作为工具的团体人格是法律拟制的结果。团体人格仅仅具有形式资格的意义,其权利能力受目的范围的限制;赋予法人以行为能力没有任何制度价值;而法人责任能力的设计既是制度逻辑的需要也是公平价值的需要。
The corporate character, as a tool for individuals, is the result of legislation, and its right capacity is limited by its aim since it is only a form, without any systematic value. Whereas, the design of duty capacity is the requirement of systematic logic and equal value.
