摘要
公司的法人性仅是公司外在的特征,股东是公司的所有者权益的承担者,公司为股东投资的工具则是公司最为基础的本质。股东作为公司的所有者在公司自治中居于核心地位,现代公司自治实质上即为股东的自治。公司及公司制度的产生与发展均是以股东为核心力量进行的,公司制度功能的发挥关键在于股东自治的实现。在我国,股东自治的实现要通过公司立法的完善、政府角色的转变和法院能力的提升等多渠道建构。
The legal person's nature of company only is an extrinsic feature.It's the basic essence of company that the shareholder is the undertaker of rights of the company owner and the company is a tool of shareholder investment.Essentially,the autonomy of company is the autonomy of shareholder.Thus,as the owner of company,shareholder is in the central status of the autonomy of company.Shareholders,who is the important power,contribute company system to appear and develop;Rerforming the autonomy of shareholder can encourage to realize the functions of company system.In China,completing the company law,transforming the governmental role and developing the count capability will help to realize the autonomy of shareholder.
