摘要
完善的法人治理结构是民办高校可持续发展的保证。产权理论和利益相关者理论是法人治理结构的理论基础。文中指出目前我国民办高校法人治理结构存在的问题主要表现在董事会构成人员不合理、董事会内部权利制衡机制缺失、监事会空缺以及产权不清晰等方面,并提出完善法人治理结构的合理化建议。
A perfect corporate governance structure is a guarantee for sustainable development of non-governmental higher educa- tion. Property rights theory and stakeholder theory of corporate governance structure are two theoretical basis of the corporate gov- ernance structure. This paper points out the problems in corporate governance structure at non-goverumental institutions of higher learning in China nowadays exist at the following aspects, unreasonable board of director members; missing check-and-balance mechanism within board of directors; and unclear vacancy and property right. The recommendations for improving the corporate governance structure are made accordingly.
