公司章程制度最为典型地反映了公司法中公司自治与国家干预相结合的特点,因此以公司章程为视角是分析和理解公司自治与国家干预在公司法中相互关系的有效路径。文章以解析公司章程制度在不同类型公司中的作用以及公司对内对外的效力差异为起点,探讨了公司章程的性质之争所体现的公司自治与国家干预,以及公司自治与国家干预在公司章程中的和谐共存。
The combination of company self- management and state intervention has been typically reflected in a companyg articles of association. Thus it is an effective way to understand the interrelation between the company＇s self- management and state intervention by analyzing its articles of association. This article, based on the discussion about its different roles and effectiveness in different companies, has probed into the harmonious coexistence of company self - management and state intervention in a company＇s articles of association.
