摘要
当股权分置改革完成之后,并购问题必将再次成为一个热点。粤美的管理层收购的成功,被人们称为我国"第一例成功的MBO",鉴于粤美的MBO脉络清晰,而且MBO后的治理结构比较具有代表性,本文对其进行了详细研究,希望能对以后的企业改制有所借鉴作用。
