摘要
国有控股商业银行,按照"三会分设、三权分开、有效制约、协调发展"的原则,初步建立了现代公司治理结构。然而,现行治理结构仍然存在着缺陷:投资者与利益相关者的利益不能得到真正的保护,董事会、监事会、管理层之间的关系还没有真正理顺,缺乏有效的激励与约束机制。为此,必须优化国有控股商业银行公司治理,即必须引入"金股",构建多元化股权,激发投资者与其他利益相关者对公司经营的关注与监督;必须理顺股东大会、董事会、监事会、管理层等各方关系,确保分权制衡的有效性;必须建立健全激励、约束机制,实现效率和制衡的平衡。
The state - holding commercial banks have set up modem corporate governance structure according to the principle of "separation of 3 boards, division of 3 powers, efficient control and harmonious development". Whereas there are still some deficiencies in the existing governance structure: the interests of investors and interests - related can not be properly protected; the relations among the board of directors, beard of supervisors and managers are not so well coordinated; there is a lack of proper incentive and constraint mechanism. Hence, the corporate governance for the state- holding commercial banks has to be optimized, i.e., the "golden share" has to be introduced to set up the diversified equity so as to encourage the investors and other interests - related to pay attention to the operation and supervision of companies; the relations among the meeting of stockholders, board of directors, board of supervisors and managers have to be coordinated to guarantee the efficiency of the decentralization and balance; sound incentive and constraint mechanism has to be set up to reach a balance between efficiency and counterbalance.
