摘要
当公司治理结构的重心是股东利益最大化,在不断完善的公司治理结构中如何保护中小股东的利益成为了修订后的公司法关注的重点之一。现代公司要逐步构建以股东为中心的利益机制,落实现行公司法中的相关规定,通过配套制度的设计来完善中小股东利益保护的方式。
The focus of corporate governance is maximizing the interests of shareholders, how to protect the interests ot little shareholders in modern corporate governance becomes one of the key areas of amendments to the Company Law of PRC.For the implementation of the relevant provisions of the Company Law,new comanies should build a managerial model of shareholder-centered corporate governance ,and improve the way of protection of little shareholders＇ interests through matching system design.
