摘要
20世纪90年代以来,随着经济的日益全球化,公司治理越来越受到世界各国的重视,无论是发达国家还是发展中国家都在探索有效公司治理的途径,英美和德日两种典型公司治理模式各具特色,在本国经济发展中发挥了重要作用,但也都存在一定弊端,需要不断改进。不同的公司治理模式正在相互渗透、相互交融,呈现出趋同化的倾向。我们要很好地借鉴发达国家做法,努力建立符合我国国情和市场经济要求的,能与国际接轨的公司治理模式。
Since 1990＇s, countries all over the world have pay more and more attention to the corporate governance with economic globalization. Both developed and developing countries explore valid way of the corporate governance. Different modes of the corporate governance are permeating each other and demonstrating the convergent inclination. To use the successful experience of reforms of other countries in the corporate governance, we should try hard to set up mode of the corporate governance in accordance with our country conditions and requirements of the market economy, which can be in line with internationl standards.
