摘要
相对于一般信托产品,证券投资基金价格的易波动性及其投资的一致性,为其内部安排统一的契约监护人制度提供了必要性与可能性,而公司型基金的独立董事比契约型基金的独立受托人在实现这一制度功能上具有比较优势。优化我国基金治理结构的方向应是安排一种能够独立于基金管理公司的机构,代表基金持有人行使监督权,因此面临两种制度选择,一是改变现有的基金托管人制度,二是实行公司型基金治理模式。
Compared with common entrust products, the easy fluctuating nature of the price of mutual funds and its similitude in investment offer the necessity and the possibility to set up a centralized system of contract guardian interiorly. Independent directors of corporate funds are superior to the assignees in contractual funds in realizing the institutional functions. The direction of optimizing the structure of our funds governance should be arranging an institution independent of fund management corporation, which exerts supervision on behalf of the funds holders. Then there are two options, one is to change the current funds trustee system, the other is to implement governance mode of corporate funds.
