摘要
独立董事制度的引入是完善我国上市公司治理结构的重要举措,但由于我国市场环境的差异性,导致独立董事的积极主动性没有得以充分发挥。对独立董事的激励主要有薪酬激励和声誉激励两种,本文从声誉激励机制方面入手,对完善我国独立董事制度进行了探讨。
It is an important measure to perfect our listed companies ＇ managing structure that we introduce the system of independent director. Unfortunately, independent director actually doesn ＇ t take active part in relative management activities because of the difference of our country＇ s market environment. Incentive measures to independent director mainly include salary and reputation incentive. Starting from the reputation incentive, this paper carried on a study on perfecting our independent director＇s system.
