摘要
新《公司法》的实施,确立了一人公司的合法地位,标志着我国公司法律制度的一个重大进步,这将极大地促进我国资本流通和经济发展。一人公司因为其自身的特点,决定了它具有其他公司形式所不具备的优点,但同时也不可避免地存在着缺点。分析新《公司法》对其限制性规定及其不足,并对一人公司制度的健全和完善提出建议。
The implementation of the new Company Law establishes the legal status of ＂company with one shareholder＂ and marks an important progress of our country＇s jus of company. The Law will promotes the circulation of capital and economic development of our country. Because of the characteristics of itself, ＂company with one shareholder＂ has the particular merits that other company forms cannot possess. Meanwhile, it also has the unavoidable shortcomings. The article analyzes the regulations of one - person - company in the new Company Law and its shortages. At last, it put forwards the proposals to strong and to perfect the system of ＂company with one shareholder＂.
